Each Party shall, at its own cost and expense, take all such actions and execute all such documents as may reasonably be required to give full effect to the terms of this Agreement, including, without limitation, all filings with the relevant regulatory authorities of the People's Republic of China and the United States.

The governing law of this Agreement shall be the laws of the State of New York, without giving effect to its conflicts-of-law principles, save that the construction and enforcement of any provisions concerning real property situated in the People's Republic of China shall be governed by the laws of the People's Republic of China.
